1. B2B Trade Accounts & Registration

We are a strictly Business-to-Business (B2B) trade-only wholesaler. By applying for an account or placing an order:

  • You confirm that you are purchasing goods solely for commercial, business, or trade use (reselling, retail, or hospitality).
  • You agree to provide valid business information, including your business name, company registration number, and VAT number (where applicable).
  • We reserve the right to decline trade account applications or suspend accounts at our sole discretion.

2. Pricing, Taxes, and Orders

  • Pricing: All prices shown on the website exclude VAT and shipping charges unless explicitly stated otherwise. VAT will be added at the current standard UK rate of 20% during checkout.
  • Case Sizing: Items are sold in case quantities or full pallets. You are responsible for ensuring correct pack quantities are selected.
  • Order Acceptance: All orders are subject to stock availability and acceptance by Royal Prime Wholesale Ltd. A contract is only formed when we dispatch the goods.

3. Payments

We accept payments via major credit/debit cards, PayPal, and bank transfers (BACS). Payment must be made in full and cleared before goods are dispatched. Any unpaid orders will be held or canceled.

4. Delivery and Pallet Shipments

  • Shipping Policy: We deliver to UK mainland addresses. Standard shipping rates apply, with Free Delivery qualifying on orders over £150.
  • Pallet Access: If your order requires a pallet delivery, you must ensure that your delivery location is accessible to large goods vehicles (HGVs) and has appropriate unloading facilities (like a tail lift or forklift).
  • Delivery Times: Estimated delivery times are guidelines only. We are not liable for any losses caused by delivery delays.

5. Claims, Damage, and Shortages

Because we operate on a B2B basis, standard consumer cooling-off periods and distance selling regulations do not apply:

  • All delivery shortages, transit damage, or defect claims must be reported to us in writing at info@royalprimeuk.com within **48 hours** of receipt of delivery.
  • Claims must include photo evidence of any damaged packaging and products.
  • No goods may be returned to us without prior written authorization.

6. Limitation of Liability

Royal Prime Wholesale Ltd will not be liable for any indirect, special, or consequential damages, loss of profits, loss of business opportunity, or business interruption arising out of or in connection with the purchase, use, or resale of our products.

7. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes relating to these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
